Terms of Service | Boudreaux's Data Vault

1. Acceptance of Terms

By accessing or using the Boudreaux's Data Vault platform ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Boudreaux's Data Vault is an enterprise data management platform that provides encrypted credential storage, document management, compliance tracking, analytics, and workflow automation for authorized users within Boudreaux's New Drug Store and its affiliates.

3. User Accounts

Access to the Service requires an authorized account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify your organization administrator immediately of any unauthorized access. Account creation is managed by organization administrators; self-registration is subject to admin approval.

4. Acceptable Use

You agree to use the Service only for legitimate business purposes related to your role at the organization. You shall not attempt to bypass access controls or view data you are not authorized to access, share your login credentials with others, use automated tools to scrape or extract data in bulk, upload malicious software or content, or use the Service for any unlawful purpose.

5. Data Ownership

All data you enter into the platform remains the property of your organization. Boudreaux's New Drug Store does not claim ownership of user-submitted content. We maintain the right to use aggregated, anonymized usage data to improve the platform.

6. Confidentiality

The Service contains confidential business information. You agree to treat all data accessed through the platform as confidential and not to disclose it to unauthorized parties. This obligation survives termination of your account.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, Boudreaux's New Drug Store shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by your organization in the twelve months preceding the claim.

9. Termination

Your access may be terminated by your organization administrator at any time. We reserve the right to suspend accounts that violate these terms. Upon termination, your access to the Service will cease, but data may be retained per our data retention policy and applicable legal requirements.

10. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the Service constitutes acceptance of the modified terms.

11. Governing Law

These terms are governed by the laws of the State of Louisiana, United States. Any disputes shall be resolved in the courts located in Louisiana.
